Terms of Service

Welcome to PrettyFace. These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and EB Financial Holdings, LLC, a company organized under the laws of Delaware, U.S. with its registered office at 1375 E Hampden Ave Unit 516 Englewood, CO 80113("PrettyFace", "we", "us", "our").

By creating an account, accessing, or using PrettyFace (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

To use PrettyFace, you represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater);
• You have the legal capacity to enter into these Terms;
• You are not located in, or a citizen/resident of, a jurisdiction where access to adult content is prohibited;
• You are not on any sanctions list maintained by the United States, the European Union, the United Kingdom, or other applicable authorities;
• You will comply with all applicable laws when using the Service.

We reserve the right to verify your age at any time and to suspend or terminate accounts that fail verification.

2. The Service

PrettyFace provides AI-powered companion experiences, including text chat, voice synthesis, and image and video generation, with virtual characters. All characters, personalities, voices, and content presented by the Service are fictional and generated by artificial intelligence. They do not represent real persons, and any resemblance to a real person is unintended.

We may add, modify, or discontinue features at any time. We may also impose usage limitsbased on your purchases or available credits.

3. Accounts

• You must provide accurate registration information and keep it current.
• You are responsible for keeping access to your sign-in methods (your email inbox and any Google, Discord or X account you sign in with) secure, and for all activity under your account.
• You must notify us immediately of any unauthorized access at [email protected].
• One person, one account. You may not share, transfer, or sell your account.
• We may suspend or terminate accounts that violate these Terms (see Section 12).

4. Acceptable Use

You agree NOT to use the Service to:

• Generate, request, or seek content that depicts minors (real or fictional, in any context, sexual or otherwise);
• Generate content depicting real, identifiable individuals without their explicit consent (including celebrities, public figures, or people you know);
• Generate content depicting non-consensual acts, bestiality, incest, gore, or torture;
• Generate content that promotes or incites violence, terrorism, self-harm, or hatred against any group;
• Generate content used for harassment, defamation, doxxing, blackmail, or revenge;
• Use the Service to create "deepfakes" — content depicting real people in sexual or otherwise harmful contexts;
• Reverse-engineer, scrape, or attempt to extract our models, prompts, or proprietary systems;
• Bypass usage limits, age verification, payment systems, or any other protective measure;
• Use automated tools (bots, scripts, scrapers) without our written permission;
• Use the Service in any way that violates applicable laws or these Terms;
• Resell, sublicense, or commercially exploit the Service or its outputs without our written permission.

Violations may result in immediate suspension or termination, forfeiture of credits, and reporting to law enforcement when required.

5. User Content

5.1 Your content

"User Content" means any text, prompts, images, voice recordings, custom characters, or other content you submit to the Service. You retain all ownership rights you have in your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, display, and use it solely as needed to operate, maintain, secure, and improve the Service.

5.2 Generated content

Content generated by the Service in response to your prompts ("Generated Content") is provided for your personal, non-commercial use. To the extent any rights in Generated Content can vest in you, we grant you a non-exclusive license to use it for personal purposes, subject to these Terms. We reserve all rights not expressly granted.

5.3 Responsibility

You are solely responsible for all User Content and for any consequences of generating or distributing content via the Service. We do not pre-screen User Content but may review, block, or remove content that violates these Terms.

6. Subscriptions, Credits & Payments

• PrettyFace offers free access with a one-time allowance of free credits when you sign up, and paid credit packs, each bought once.
• Payments are processed by third-party payment processors. The specific processor used for a transaction is disclosed at checkout.
• Credit packs are one-time purchases: nothing renews, and nothing is charged again automatically unless you turn on auto top-up yourself. Subscriptions bought earlier run until their end date and then end.
• Auto top-up is optional and stays off unless you turn it on yourself by ticking its box, which is never ticked for you. While it is on and your balance drops below the level you chose, we charge your saved payment method for the credit pack you chose, at the price shown when you turned it on, and never more in a calendar month than the monthly limit you set. Each automatic top-up adds the pack's credits plus the bonus credits shown when you turned it on; the bonus comes only with automatic top-ups, never with the purchase during which you turn auto top-up on. We email you after every charge. A charge that fails is not tried again, and auto top-up then turns off. You can turn auto top-up off at any time in Billing or with the link in any auto top-up email, and it stops at once. It works only with a payment method that can be charged again automatically, never with crypto, and a choice made while payments were not yet open is never charged: we ask you again when they open.
• The credits of a pack are added to your account as soon as the payment is confirmed.
• Credits expire after 12 months without any activity on your account. Activity is any use of your account while signed in, such as opening the app, sending a message, a call or a purchase, and each activity starts the 12 months again. When credits expire, the whole remaining balance expires. We email you 30 days before your credits expire, and they never expire sooner than 30 days after that email; any activity before the date in that email keeps them for another 12 months.
• Credits granted for free or earned via promotions may expire as stated at the time of grant.
• Prices may change. A price change applies only to purchases made after it, never to a period you have already paid for.

7. Refunds

Due to the digital and immediately-consumable nature of the Service, all purchases are non-refundable, except where required by applicable law (for example, the EU 14-day right of withdrawal, which you waive when you begin using paid features immediately after purchase, to the extent permitted by law).

8. Intellectual Property

The Service, including all software, models, designs, logos, and content (other than User Content and Generated Content licensed to you), is owned by PrettyFace or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, lawful, non-commercial purposes, subject to these Terms.

"PrettyFace" and our logos are our trademarks. You may not use them without written permission.

9. DMCA / Copyright Complaints

If you believe content on the Service infringes your copyright, see our DMCA Policy for instructions on submitting a takedown notice.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

PRETTYFACE MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT GENERATED CONTENT WILL BE ACCURATE, RELIABLE, APPROPRIATE, OR FREE OF DEFECTS.

AI-generated content may contain inaccuracies, biases, or unintended outputs. Do not rely on Generated Content as professional, medical, legal, financial, or other expert advice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRETTYFACE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

IN NO EVENT WILL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.

12. Termination

You may terminate these Terms at any time by deleting your account. We may suspend or terminate your access immediately, with or without notice, if we believe you have violated these Terms, applicable law, or for any other reason at our discretion.

Upon termination: your right to use the Service ends; we may delete your account and associated data (subject to legal retention obligations); any unused paid credits may be forfeited if termination was due to your violation of these Terms; sections that by their nature should survive termination (e.g., 5.2, 8, 10, 11, 13, 14) shall survive.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Belize, without regard to its conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by [ARBITRATION INSTITUTION — e.g. ICC, JAMS] in accordance with its rules. The seat of arbitration shall be [SEAT — e.g. Belize City]. The arbitration shall be conducted in English. Each party waives any right to a jury trial and to participate in a class action.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

If you reside in the European Union, you may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Miscellaneous

• Entire agreement: these Terms and the documents referenced herein constitute the entire agreement between you and PrettyFace regarding the Service.
• Severability: if any provision is held unenforceable, the remaining provisions shall remain in effect.
• No waiver: our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure: neither party is liable for delays or failures caused by events beyond reasonable control.
